You agree to indemnify, defend, and hold harmless Pontiac Land Group, and their officers, directors, shareholders, investors, employees, agents, representatives, successors and assigns (collectively, the “Indemnified Parties”) from and against any and all liability, loss, damage, claims, demands, actions, proceedings, penalties and costs (including without limitation, legal costs and expenses on a full indemnity basis) incurred by the indemnified Parties due to or arising out of any use of this Site, your connection to this Site, your breach of any terms of these Terms of Use or your breach of any statutory requirement or law. You shall cooperate as fully as reasonably required in the defence of any such claim. Pontiac Land Group reserves the right to assume the exclusive defence and control of any matter subject to the aforesaid indemnity.

SEVERABILITY

In the event any term of these Terms of Use shall be held to be illegal, void or unenforceable under any law that is applicable hereto or if any court of competent jurisdiction in a final decision so determines, these Terms of Use shall continue in force save for that such term shall be deemed to be deleted.

RELATIONSHIP

Nothing in these Terms of Use shall constitute or be deemed to constitute an agency, partnership or joint venture between Pontiac Land Group and you and neither party shall have any authority to bind the other in any way.

GOVERNING LAW AND JURISDICTION

These Terms of Use and all matters relating to your access to or use of this Site shall be governed by and construed in accordance with the laws of Singapore. You hereby agree to submit to the exclusive jurisdiction of the Singapore courts. Any waiver of any provision of these Terms of Use shall only be effective if given in writing by Pontiac Land Group.
